14. COMMERCIAL CONDITIONS.
As consideration for the provision of the Services, the Applicant agrees to pay Realestate-Panama.com the charges indicated in the particular order based on each contracted service. The date and method of payment will be the one agreed upon by the parties at the time of contracting the Services or, failing that, within 15 days of the billing date. The Service does not include costs or Internet connection service or any other benefit and/or service that is not expressly detailed in the particular order, which are the responsibility and total and exclusive cost of the Applicant.

15. ARREARS. NON-PAYMENT. BREACHES.
The delay in the fulfillment of the obligations assumed by the Applicant in these Conditions will be automatic, without the need for any judicial or extrajudicial notification, and will accrue the default interest detailed in clause 28. The lack of payment in time of any invoice sent by Realestate-Panama.com to the Applicant will authorize Realestate-Panama.com to immediately suspend the Service until its effective payment, without this generating the Applicant's right to claim or compensation. If said payment is not regularized, Realestate-Panama.com may, at its sole discretion, terminate the contractual relationship with the Applicant, and claim the damages caused.

In the event that the Applicant owes the payment of invoices to Realestate-Panama.com and makes a payment for the contracting of a new service, Realestate-Panama.com may, at its sole discretion, allocate the payments made to the unpaid invoices and immediately suspend the Service until the Applicant pays all unpaid invoices, without this generating the Applicant's right to claim or compensation. If said payment is not regularized, Realestate-Panama.com may, at its sole discretion, terminate the contractual relationship with the Applicant, and claim the damages caused.

16. TERM OF EFFECTIVENESS.
The Services will be provided by Realestate-Panama.com during the term determined in the service order agreed with the sales executive or through the means specially determined for that purpose. The term of validity will be counted in consecutive calendar days from the date of acceptance of the Application by Realestate-Panama.com (hereinafter, the "Term of Validity"). Once the Term of Validity expires, the provision of the Services will cease automatically, without the need for prior notice to the Applicant.

17. SERVICE AVAILABILITY.
Realestate-Panama.com does not guarantee the uninterrupted availability of the Services, nor their operation free of errors. Realestate-Panama.com does not guarantee any minimum number of visits by Users to the ads published by the Applicant on the Websites, so the Applicant excludes all liability of Realestate-Panama.com for damages of any nature. that could suffer as a result of the absence of visits from Users.
      6. Realestate-Panama.com may replicate the content of the ads published by the Applicant on the Websites, on portals where Realestate-Panama.com has a co-branding agreement.

18.2. The Applicant represents and warrants that:

      1. The use of the Services is carried out at your sole and exclusive responsibility and commercial risk.
      2. You will use the Services in full in accordance with current regulations and other laws, decrees, resolutions, provisions and government decisions that are issued and applicable in the future.
      3. You have full authority to accept these Conditions and comply with all the obligations arising from the provision of the Services.
      4. No member of the Applicant's staff shall act or make any statement or act in a manner that could reasonably result in damage to Realestate-Panama.com, including damage to its reputation.
      5. The Applicant will indemnify Realestate-Panama.com for the losses suffered as a result of any violation of any guarantee stipulated in this clause.

19. LIABILITY.
19.1. The Applicant expressly acknowledges and accepts: (i) that Realestate-Panama.com, its controlling, controlled, related companies and the companies involved in the provision of the Service, will not be in any case responsible for any mediate, indirect, special damage of a nature exemplary or punitive (including but not limited to, lost profits, loss of income, information, interest, goodwill, loss or alteration of data or any other loss or interruption of business activities of the Applicant, whether contractual or extracontractual ( including negligence), even if advised of the possibility of such damages occurring, and (ii) that the total liability to the Applicant (this is the maximum amount of damages that Realestate-Panama.com may be obligated to pay) is limited to the full price of the Service for the Term; the Applicant irrevocably waiving in this act to make any claim to Realestate-Panama.com, to the controlling, controlled and related companies of Realestate-Panama.com and to the companies involved in the provision of the Service, as well as to make a claim any to Realestate-Panama.com for an amount greater than the aforementioned limit.

19.2. The Applicant expressly acknowledges that said limit is an essential element of its agreement with Realestate-Panama.com and the acceptance of the Application by Realestate-Panama.com and that it reflects the allocation of risks in relation to the provision of the Service and that Realestate-Panama.com would in no way accept an Application otherwise.

19.3. Neither Realestate-Panama.com nor the Applicant shall be liable for failure to perform or delay resulting from an act or condition beyond the reasonable control of each, including without limitation, force majeure, acts of government, terrorism, natural disasters etc

20. INTELLECTUAL PROPERTY.
20.1. The Applicant agrees not to use, in any way, trademarks, trademark applications, patents, utility models, industrial models and designs, insignia, logotypes, isotypes, trade names, company names, ensigns, copyrights, names of domain, "know how" and all other intellectual and industrial property rights (of any kind and nature worldwide regardless of their designation) of Realestate-Panama.com and/or any controlling, controlled, affiliated and/or linked company , without prior written permission.

20.2. The Applicant acknowledges the right, title and interest of Realestate-Panama.com in the registered or unregistered trademarks, insignias, logos, designs, words or unregistered names that identify and distinguish Realestate-Panama.com and agrees not to participate in activities or commit any act that, directly or indirectly, may dispute or jeopardize said right, title or interest of Realestate-Panama.com. Likewise, the Applicant must not request or acquire before the competent authorities, either as a product brand, service, denomination, domain name, company name or trade name; trademarks that are the same, similar or confused with the registered trademarks or other non-registered signs that identify and distinguish Realestate-Panama.com, nor claim rights, titles or interests in or over the Realestate-Panama.com trademarks.

21. MODIFICATIONS.
The platform, tools, and the Website through which the Services are provided may be unilaterally modified by Realestate-Panama.com, without the need for prior notice or consent from the Applicant. All the modifications will be considered known and accepted by the Applicant, for the sole access to the Services. Likewise, the Applicant acknowledges and accepts that Realestate-Panama.com may, prior written notice at least thirty (30) calendar days in advance, modify the commercial contracting conditions of each Service. The Applicant will have a term of ten (10) calendar days from receipt of the notification from Realestate-Panama.com to accept or reject the new proposed charges. If said period expires without the Applicant having reliably notified the rejection of the new charges proposed by Realestate-Panama.com, these will be considered accepted by the Applicant and will be automatically applicable from the date indicated in the notification sent by Realestate-Panama.com. In the event that the Applicant reliably notifies Realestate-Panama.com of the rejection of the new charges proposed by the latter within the period of ten (10) days mentioned above, the provision of the Service by Realestate-Panama.com will end on the day immediately prior to the entry into force of the new commercial conditions proposed by Realestate-Panama.com, without this generating the right to any compensation for any of the parties. these will be considered accepted by the Applicant and will be automatically applicable from the date indicated in the notification sent by Realestate-Panama.com. In the event that the Applicant reliably notifies Realestate-Panama.com of the rejection of the new charges proposed by the latter within the period of ten (10) days mentioned above, the provision of the Service by Realestate-Panama.com will end on the day immediately prior to the entry into force of the new commercial conditions proposed by Realestate-Panama.com, without this generating the right to any compensation for any of the parties. These will be considered accepted by the Applicant and will be automatically applicable from the date indicated in the notification sent by Realestate-Panama.com. In the event that the Applicant reliably notifies Realestate-Panama.com of the rejection of the new charges proposed by the latter within the period of ten (10) days mentioned above, the provision of the Service by Realestate-Panama.com will end on the day immediately prior to the entry into force of the new commercial conditions proposed by Realestate-Panama.com, without this generating the right to any compensation for any of the parties.

22. TERMINATION.
22.1. Realestate-Panama.com may terminate the contractual relationship with the Applicant in advance and therefore the provision of the Service, without the need to invoke any cause, and must, for this purpose, give reliable notice at least thirty (30) days in advance of the date determination.

22.2. Non-compliance by the Applicant with any of the obligations for which it is responsible set forth in these Conditions or in the particular conditions that may apply to each Service, which were not remedied within five (5) days of receipt of the notice of compliance by of Realestate-Panama.com, will authorize Realestate-Panama.com to choose to: (a) consider this automatically and fully resolved; or (b) demand compliance with the due provision, in both cases with more compensation for the damages caused.

22.3. Early termination for reasons related to the Solvency of the Applicant: Realestate-Panama.com may consider the contractual relationship terminated in the event of a bankruptcy petition, presentation in bankruptcy proceedings, cessation of payments, processing of an extrajudicial preventive agreement (APE) or any other circumstance that reasonably manifests a decrease in the Applicant's solvency or its ability to comply with the obligations assumed, in accordance with these Conditions and/or the particular conditions that may apply to each Service.

22.4 In this case, Realestate-Panama.com must notify the Applicant of its willingness to reliably resolve the relationship without the need for any other additional requirement. The exercise of this option will not generate in favor of the Applicant the right to receive any sum for any concept, especially for damages, lost profits or lost profits, consequential damages, etc.

23. UNAUTHORIZED RELEASE OR COMMERCIAL USE.

26. REFUND.
